ODA LT E-SHOP RULES

1. General provisions
These purchase and sale rules (hereinafter referred to as the Rules) establish the mutual rights, obligations, and responsibilities of the Buyer and www.optimumderma.lt (hereinafter – the Seller) when the Buyer purchases goods from the e-shop.

2. Conclusion of the Purchase-Sale Agreement

The Purchase-Sale Agreement between the Buyer and the Seller shall be considered concluded when the Buyer fills their shopping cart with goods in the e-shop, specifies the delivery address, chooses a payment method and bank from which the payment will be made, gets acquainted with these Rules, and clicks the “Confirm order and proceed to payment” button. The agreement is valid until the obligations under the rules of this agreement are fully fulfilled. Each agreement concluded between the Buyer and the Seller is stored at the www.odapro.lt e-shop.

 3. Rights and obligations of the Buyer
3.1. In accordance with these Rules as well as the legal acts of the Republic of Lithuania, e-shop Buyers are:
3.1.1. capable natural persons, meaning persons who are of legal age and their legal capability is not restricted by court order;
3.1.2. minors between the ages of fourteen and eighteen, who have the consent of their parents or guardians, unless they are self-employed;
3.1.3. legal persons;
3.1.4. authorized representatives of all of the persons mentioned above.
3.2. The customer has the right to refuse the product and return it within 14 calendar days of receipt of the product, without giving a reason.
3.3. The Buyer must accept the ordered goods and pay for the goods and their delivery.
3.4. If the data provided in the Buyer’s registration form changes, the Buyer must update it immediately.
3.5. The goods selected by the Buyer are reserved and the Seller undertakes to fulfill the Purchase-Sale Agreement only when the Seller receives a notification from the Buyer’s bank about the payment for the selected goods. The Buyer must confirm the payment no later than 24 hours after clicking the “Confirm order and proceed to payment” button. If the payment is not confirmed within this time, the Seller has the right to consider that the Buyer has withdrawn from the Purchase-Sale Agreement. 
3.6. In order to return a product of good quality, the Buyer must contact the Seller by e-mail: logistika@odapro.eu. Products being returned must be in undamaged, original manufacturer’s packaging. When returning a product, a document confirming the payment of the product must be attached. The costs of returning the product is paid by the Buyer.
3.7. The Buyer must comply with the other requirements established in the Rules and the legal acts of the Republic of Lithuania.

 4. Rights and obligations of the Seller
4.1. If the Buyer attempts to harm the stable work or operation of the e-shop, the Seller has the right to restrict, suspend (terminate) the Buyer’s access to the e-shop, without prior notice.

4.2. If the Seller notices that the Buyer’s done unfair actions, the Seller has the right to cancel the Buyer’s order and inform the Buyer about it. The Seller undertakes to return the money paid by the Buyer within 7 working days, if the Buyer has made a prepayment.

4.3. The Seller has the right to temporarily or indefinitely terminate the operation of the e-shop without separate notice.
4.4. The Seller has other rights established in the Rules and the legal acts of the Republic of Lithuania.
4.5. The Seller must create conditions to allow the Buyer to properly use the services provided by the e-shop.
4.6. The Seller must arrange the delivery of the Buyer’s ordered goods to the address specified by the Buyer.
4.7. If important circumstances arise and the Seller is unable to deliver the goods that the Buyer ordered, the Seller is obliged to offer the Buyer analogous products. If the Buyer refuses to accept the analogous products and had previously made a prepayment, the Seller must refund the Buyer within 7 working days. When paying with a bank card, the money is returned only to the card from which the payment was made.
4.8. If a purchased product does not meet quality requirements, the Seller is obliged to replace the poor quality product with an appropriate quality product, reduce the price of the product accordingly or refund the money paid for the product and its delivery within 7 working days from the submission of the request.
4.9. Upon termination of the agreement, the Seller is obliged to refund the purchase price of the well kept good that is being returned within 7 working days.
5. Delivery of goods
5.1. The Seller delivers the ordered goods within 2-4 working days, during the holidays or extreme situations within 2-7 working days from the day the payment for the goods was received, through the courier service chosen by the Buyer. Delivery of orders to foreign countries up to 30 working days.
5.2. When accepting the goods, the Buyer together with the carrier must check if the parcel is not damaged. If the parcel has been damaged, the Buyer must indicate this in the delivery confirmation document (consignment note). Accepting the goods and signing the delivery confirmation document (consignment note) without comments confirms that the parcel was not damaged and was properly delivered.

5.3. Delivery price:
5.3.1. Delivery price in Lithuania – 3 EUR (including VAT). Additional delivery charges may apply when ordering goods to the Curonian Spit (Kuršių Nerija). When buying for 39 EUR and more – delivery in Lithuania is free.

5.3.2. Delivery price in Latvia and Estonia:

5.3.3 Omniva Pickup point  – EUR 10 (including VAT)

5.3.4.. DPD Pickup point – EUR 18 (including VAT)

5.3.5.. DPD courier delivery – 18 EUR (including VAT).

5.3.6. Delivery of goods for shipments up to 2 kg to other EU countries – 22 EUR (including VAT). When buying for 200 EUR and more, delivery in these countries is free.

5.3.7. Delivery of goods for shipments up to 2 kg to Great Britain, Iceland, Switzerland – 22 EUR (including VAT). When buying for 200 EUR and more, delivery in these countries is free. If you want to order goods to other countries – write an order to order@odapro.eu

5.3.8. If you choose to pick up the goods at the ODA clinic in Vilnius or Kaunas, it is stored for 7 calendar days. After 7 calendar days the order is cancelled.

 6. Return of goods
6.1.The customer has the right to refuse the product and return it within 14 calendar days of receipt of the product, without giving a reason.6.2. The Seller must replace or take back goods that the Buyer wants to return in undamaged packaging and a proof of purchase document within 7 days from the date of delivery:

6.2.1. At ODA clinics at J. Jasinskio g. 10, Vilnius and Jonavos g. 7, Kaunas.
6.2.2. Via DPD courier. Delivery costs are non-refundable. The Buyer returns unsatisfactory goods on his/her own or pays the return costs.
6.3. If the Buyer decides to terminate the agreement and informs the Seller thereof, the Buyer loses the right to use the product from the date of sending the notice. The date and time of sending the notice are determined according to the time the notice was sent by the Buyer. If it is established that the goods were used after sending the notice, the Seller has the right to refuse to terminate the agreement.

6.4. The Buyer may exercise the right to return goods if the goods have not been used, the original packaging of the goods have not been damaged, and have not lost their marketable representation. Returned goods must be fully assembled. The Buyer is responsible for the complete assembly and packaging of the item. If the goods are not fully assembled and properly packaged, the Seller or his representative may refuse to accept the returned goods. Changes in the appearance of the product or its packaging that were necessary to inspect the product cannot be considered as substantial changes in the appearance of the product.

6.5. If a purchased good does not meet the quality requirement, the Seller is obliged to replace the poor quality good with an appropriate quality good, reduce the price of the good accordingly or refund the money paid for the good and its delivery within 7 working days from the submission of the request. Products being returned must be in undamaged original packaging. The Buyer must also submit an original invoice for the goods and a completed and signed return form stating the reason for returning the goods.

 7. Responsibility
7.1. The Buyer is responsible for the accuracy of the data provided in the registration form. The Buyer accepts responsibility for the consequences of incorrect or inaccurate data provided in the registration form.
7.2. The parties shall be liable for the violation of the Purchase-Sale Agreement concluded using the e-shop in accordance with the procedure of the legal acts of the Republic of Lithuania.
7.3. The Seller is not responsible for the information provided on other companies’ websites, even if the Buyer accesses these websites via links in the Seller’s e-shop.

7.4. In case of damage, the guilty party shall compensate the other party’s losses.

 8. Sending information
8.1. The Seller shall send all messages to the e-mail provided in the Buyer’s registration form.
8.2.The Buyer shall send all notices and questions to the contact details specified in the “Contacts” section of the Seller’s e-shop.

 9. Final provisions
All disagreements arising regarding these Rules shall be settled by negotiation. If the parties fail to resolve a disagreement, it shall be settled in accordance with the procedure established by the laws of the Republic of Lithuania.
